Promotional Terms of Use

Effective Date: August 1st, 2018

Seat Leap partners directly with major corporate brands to provide consumers with free or reduced-price ticket upgrades at live events. The Terms and Conditions set forth in this document govern your purchase or acceptance of any tickets directly or indirectly from any third-party promotional campaign operated utilizing all or part of Seat Leap’s technology. By purchasing or accepting tickets in any manner from Seat Leap or any of Seat Leap’s promotional partners, you expressly agree to abide and be bound by terms and conditions in this document, as well as all applicable laws, ordinances and regulations. You represent that you are legally able to enter into a binding contract. If you are under the age of 18, then you may only use this site in conjunction with, and under the supervision of, a parent or guardian.

Inventory Available While Supplies Last

There will be a limited supply of ticket upgrades per event. Once that inventory is gone there will be no additional inventory available for that event.

Promotional Program Has Limited Time

Promotional programs are effective for a limited time. Once the promotional period ends the specific program will not be extended without express notice from Seat Leap or their promotional partner. 

Ticket Availability

All orders are subject to ticket availability. Seat Leap will use commercially reasonable efforts to procure and timely deliver the exact tickets ordered. If those tickets are no longer available, Seat Leap reserves the right to replace tickets with comparable or upgraded tickets, at Seat Leap’s reasonable discretion.

Payment

By placing your order or accepting your tickets, you authorize Seat Leap to charge your method of payment for the total amount, which may include the ticket price and service fees. We accept Visa, Mastercard, Discover, American Express and PayPal. 

All Sales are Final

All sales are final. No refunds will be given for any reason other than cancellation of the event or failure to timely deliver valid tickets. This policy is necessary because of our status as a live marketplace.

Ticket Holder Behavior Policy

Attendees to live events must abide by the rules and policies of the venue, promoter and anyone else responsible for the event. Failure to follow such rules and policies may lead to consequences against you or the seller or original ticket holder. If you or another person using the ticket you received from Seat Leap fails to abide by those rules and policies, you are responsible for all applicable fines and legal or other expenses associated therewith.

Unlawful Activity; Acceptable Use

Seat Leap prohibits the use of its website, promotional websites utilizing all or part of Seat Leap’s technology, or mobile application for unlawful conduct. All users must comply with all local, state, federal and international laws, ordinances and regulations. 

Intellectual Property and Publicity

By participating in any Promotion in which you purchase or receive event ticket upgrades, you agree to co-operate in all advertising, marketing and publicity material and activities we may, at our expense, produce or arrange. You also agree to sign, if requested, an irrevocable release form allowing us, without any compensation being payable, to use your name, photograph, likeness, details of the country and/or city where you live, any comments made by or attributed to you, and to incorporate any such information and any audio/visual recording or broadcast for such promotional purposes, in any media, throughout the world.

Limitation of Liability

Except that we do not exclude or limit our liability for personal injury or death caused by our negligence or for fraudulent misrepresentation or any other liability that may not, by law, be limited or excluded, we accept no liability in relation to your participation (or inability to participate) in any Promotion, including without limitation any use made by you of (or inability to use) any ticket, to the maximum extent permitted by law.

If any Promotion cannot be executed as planned, including due to any technical problems or circumstances beyond our control, we shall incur no liability.

We reserve the right to alter, discontinue or terminate any Promotion, or any aspect of it, at any time, with or without notice, for any reason whatsoever.

Additional Provisions

These Terms contain the entire understanding of the parties with respect to the matters contained herein and supersedes and replaces in its entirety any and all prior communications and contemporaneous agreements and understandings between the parties, whether oral, written, electronic or implied.

If any provision of these Terms is held invalid or unenforceable under any circumstance, its application in any other circumstances and the remaining provisions shall not be affected. Further, the provision that has been deemed to be invalid or ineffective shall be enforced to the greatest extent permitted by law.

The heading at the beginning of each paragraph is for reference purposes and no way defines the scope or extent of such paragraph.

Privacy Policy

We are committed to protecting your privacy and creating a safe and secure online environment for anyone who visits and buys on our Site or Application.

Seat Leap shares your concern about the protection of your personal information online. This is our policy (“Privacy Policy”) regarding the privacy of information we collect via web applications (“Application”) that are developed to execute promotional seat upgrade programs for our partners.  This Privacy Policy includes examples of the types of Personal Data (as defined below) we collect and the kinds of companies with which we share your Personal Data. These examples are illustrative and should not be considered a complete inventory of our information collection, use and sharing practices. We will comply with applicable federal and state laws that may restrict the types of information we may disclose about you or require us to provide you with additional notices. Certain services, which you may access via the Application or on the Site, are provided by our third-party partners, and protection of your information relating to such services will be governed by the privacy policy of such third parties. By accessing, browsing and using the Application and/or Site, you acknowledge that you have read, understood and agreed to the Privacy Policy described herein.

Information We Collect

We may collect personally identifiable information (“Personal Data”) about you that you specifically and voluntarily provide to us while using the Site or Application. Personal Data includes information that can identify you as a specific individual, such as your name, address, phone number, credit card number or email address.

Protecting Your Personal Data

The Personal Data you provide us is saved in an environment that utilizes industry-standard security measures and is kept in our records to make it easier for you to use our services on return visits.

As part of our efforts to prevent unauthorized access, maintain data accuracy, and ensure correct use of information, we will employ reasonable and current Internet security methods and technologies.

Seat Leap limits access to your Personal Data to those employees who we determine need access to that information to provide products or services to you. We maintain physical, electronic and procedural safeguards that comply with federal standards to guard your Personal Data. However, no security system is impenetrable. We cannot guarantee the security of our servers, nor can we guarantee that your Personal Data will not be intercepted while being transmitted to us over the Internet. Seat Leap will not be responsible or liable for any damages that result from a lapse in compliance with this Privacy Policy because of a security breach or technical malfunction.

How We Use the Information We Collect

We use the Personal Data we collect to provide you with the products and services you purchase or use from our Application and Site, and to build features that will make the Application and Site easier to use.

From time to time, Seat Leap may contact you to request feedback on your experience using the Application and Site, to assist us in improving the Application and Site, or to offer special savings or promotions to you, as a user of the Application and Site. If you would prefer not to receive notices of special savings or promotions, you may simply opt-out from receiving them.

Sharing Your Personal Data

Seat Leap may share your Personal Data as described below:

In order to provide you with certain products or services (e.g., tickets to certain events), we may share your Personal Data with one of our third-party vendors or require that you transact directly with a third-party vendor.

Seat Leap's Agents

Many of the operations we perform require us to hire other companies to help us with these tasks. For example, Seat Leap retains companies to help us handle mail and email (including sending and delivering packages, postal mail and email), analyze the data we collect, market our products and services, handle credit card transactions and provide customer service. The companies we retain to help us with these tasks have access to Personal Data to perform their functions, but may not use it for other purposes. 

External Service Providers and Seat Leap Users

When you use Seat Leap technology to take advantage of any of our products and services, we may provide Personal Data to the ticket seller or other involved third party as necessary or appropriate for the transaction or as authorized by your use of our services. For example, when you purchase a ticket, a seller may receive your contact information and transaction data (excluding payment information) in order for the seller to complete the transaction. Similarly, when you purchase a ticket to an event (such as, but not limited to, a game or concert), we may provide your Personal Data to the teams you’ll be seeing, the league or organization sanctioning the game, a concert promoter, and/or the operator of the venue or facility hosting the event. Additionally, we may share information with an involved third party to assist in processing your payment with the seller.

Third-Party Companies

We may enter into agreements with companies (including, for example, by way of a co-branded or private-labeled website) that offer their products or services on our Site or Application (“Third-Party Companies”). As a result, we may disclose your Personal Data to Third-Party Companies. Because we do not control the privacy practices of Third-Party Companies, you should read and understand their privacy policies.

Future Business Transfers

Our business is constantly changing. In the event Seat Leap goes through a business transition, such as a merger, acquisition by another company, or sale of all or a portion of its assets, your Personal Data will likely be among the assets transferred.

Compliance with Law and Protection of Seat Leap

Seat Leap reserves the right to disclose Personal Data in order to comply with the law. We may also disclose Personal Data to enforce or apply the terms and conditions applicable to our products and services, or protect the rights, property or safety of Seat Leap, our users, or others.

 

Amendments to this Privacy Policy

If Seat Leap decides to change our Privacy Policy, we will post the updated policy within the Application, on this page, and/or the homepage of the Site, and/or other places we deem appropriate so that you are aware of what information we collect, how we use it, and under what circumstances, if any, we disclose it. We reserve the right to modify this Privacy Policy at any time, so please review it frequently. If we make material changes to this Privacy Policy, we will notify you here, and/or by email, and/or by means of a notice on our homepage.
